THIS AGREEMENT made and entered into this day of __________________, 202 ____, By and between Dulai Pride Inc. a limited liability company with its principal place of business at 835 Sand dollar Cir. Stockton, San Joaquin County, California, herein after referred to as "DPI" and doing business as ________________________, with a principal place of business at _ _____________________________, _ __________________, County, hereinafter referred to as "I/C".
WHEREAS, I/C has the equipment, personnel, trailers, trucks and permits necessary for the purpose of
this Contract, below and WHEREAS, DPI desires to contract with and engage Contractor as an Independent Contractor for the purpose set forth below WITNESSETH, that in consideration of the mutual promises, and covenants Herein it is hereby agreed and contracted:
1. PURPOSE. The Purpose of this Agreement is to provide for the transport of cargo and other truck freight in accordance with contracts and commitments which may be hereafter negotiated between the parties’ subject to this Agreement, and I/C represents and warrants that I/C has the truck(s) and equipment, and the licenses and permits necessary to accomplish such purpose.
2. Rate/Payment. DPI agrees to pay I/C for successful completion of the purpose of this agreement in accordance with the rate schedule here to annexed. I/C pays for their own fuel we provide the card and deduct the cost. There is $145.00 charge weekly for trailer rentals and 10% to dispatch work is deducted as well, all deductions will be itemized on every settlement.
3. LIABILITY AND CARGO INSURANCE. I/C shall, at his cost and expense, obtain and maintain insurance that shall cover the risks of liability for injury or damage to persons or property, including cargo insurance, with such carriers and in such amounts as are reasonably acceptable to DPI; and I/C shall supply to DPI a copy of such policy of insurance and endorsement there to, and at DPI's request, DPI shall be included as additional named insured, and subrogation against DPI shall be waived by the insurance carrier(s).
4. INDEPENDENT CONTRACTOR. This Agreement does not constitute and shall not be construed as constituting or creating an employer/employee relationship between DPI and I/C. DPI may have the right to direct the results which are accomplished by I/C in fulfilling its duties and responsibilities hereunder. I/C agrees to obtain and maintain suck workers compensation insurance or alternate medical insurance, as may be required by law, and I/C will provide DPI with satisfactory evidence of such insurance, and I/C agrees to indemnify and hold DPI harmless from any claim that DPI should provide, or should have provided workers compensation insurance coverage or benefits because of the application of this
Agreement, and the terms of this paragraph are continuing in nature and shall survive the terms of this
Agreement.
5. TERM. This Agreement shall be month-to-month or yearly, but may be sooner terminated by either party following the completion of any existing commitments after ten (10) days’ notice to the other.
6. INDEMNITY. I/C agrees to indemnify, defend, and hold DPI harmless from any and all liabilities which
DPI may incur as a result of any acts or failures to act, or negligence on the part of I/C and this obligation on the part of I/C is continuing and shall survive the expiration of the term of this Agreement.
7. LICENSES AND PERMITS. I/C shall, during the entire term of this Agreement, and any extensions
thereof, obtain and maintain in full force and effect, at its sole expense, all licenses and permits which
are required for the operation of said equipment.
8. SAFE OPERATION. All equipment and machinery, which are subject to this Agreement shall at all times
be maintained, operated by I/C in a safe manner, and will be kept in such condition at all times to meet
all safety rules and regulations and all other maintenance and operational rules and regulations.
9. GOVERNING LAW. The laws of the State of California shall govern the interpretation and construction of this Agreement.
10. MISCELLANEOUS.
a.
This contract is not exclusive, and I/C may perform as stated above for multiple third parties, and for the general public
b. I/C is not required to perform on DPI premises
c. I/C will hire and provide and supervise and pay its assistants and any and all personnel required to
perform the purposes of this Agreement.
d. DPI does not guarantee Trucker a profit, and all consideration for this Agreement as provided at
paragraph 2 above.
11. ADDITIONAL REQUIREMENTS.
a. Must call Office every 5 and 14 hours and return office calls within the hour, If I/C fail to report or
return phone call there is $20.00 no response fee.
b. Must check in at every load. (Loaded and Unloaded)
c. Must submit paper work to office via trans flow
d. Must take all mandatory FMCA precaution rules and guidelines
e. Must get printed name on BOL no sloppy signatures
f. If I/C has no trailer they must pay to rent trailer
g. Must consent to vehicle inspection every 90 days

I/C agrees to use drivers who are qualified under safety regulations 49 CFRSECS 391.63 and 391.65 (1K2)
requires a motor carrier who uses a driver intermittently to obtain from the driver signed statement.
Giving the total time in duty during the immediate proceeding 7 days and the time at which the driver was
last relieved from duty prior to beginning work for the motor carrier.
